1. Introduction

Welcome to RetroTalent. These Terms of Service ("Terms") govern your use of the RetroTalent website, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

RetroTalent provides recruitment and talent acquisition services to help connect job seekers with potential employers. These Terms outline your rights and responsibilities when using our platform, as well as our obligations to you.

2. Eligibility

To use the Services, you must be at least 18 years old and capable of forming a binding contract with RetroTalent. If you are accessing or using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

You are responsible for ensuring that your use of the Services complies with all laws, rules, and regulations applicable to you. If your use of the Services is prohibited by applicable laws, then you are not authorized to use the Services.

3. Account Registration

Some features of our Services require you to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. RetroTalent will not be liable for any loss or damage arising from your failure to comply with this section.

You may not share your account credentials with any third party. You are solely responsible for any activities conducted through your account, whether or not you authorized such activities.

4. Services Description

RetroTalent provides various recruitment services, including but not limited to job postings, candidate sourcing, resume screening, interview coordination, and placement services. The specific services available to you may depend on whether you are a job seeker, employer, or other user type.

We strive to provide accurate and useful information about job opportunities and candidates, but we cannot guarantee the accuracy, completeness, or suitability of any information provided through our Services. Job seekers and employers are responsible for verifying all relevant information before making employment decisions.

RetroTalent reserves the right to modify, suspend, or discontinue any part of the Services at any time without notice or liability.

5. User Content

Our Services may allow you to post, link, store, share, or otherwise provide content such as resumes, job postings, company information, and communications (collectively, "User Content"). You retain ownership of your User Content, but you grant RetroTalent a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and promoting the Services.

You represent and warrant that you own or have the necessary rights to post your User Content, and that your User Content does not violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.

RetroTalent has the right, but not the obligation, to monitor, edit, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

6. Prohibited Conduct

When using our Services, you agree not to:

Violate any applicable law, regulation, or these Terms
Post false, misleading, or fraudulent information
Impersonate any person or entity, or misrepresent your affiliation with a person or entity
Interfere with or disrupt the Services or servers or networks connected to the Services
Attempt to gain unauthorized access to any part of the Services or any accounts, computer systems, or networks connected to the Services
Use the Services for any illegal or unauthorized purpose
Harass, abuse, or harm another person or entity
Collect or store personal data about other users without their consent
Use automated means, including spiders, robots, crawlers, or data mining tools, to download or scrape data from the Services
Post content that is discriminatory, offensive, obscene, defamatory, threatening, or otherwise objectionable

7. Fees and Payment

Certain Services may require payment of fees. All fees are stated in US dollars unless otherwise specified. You agree to pay all fees in accordance with the payment terms that are presented to you at the time of purchase.

RetroTalent may change the fees for any Service or add new fees at any time by posting the changes on the RetroTalent website or by notifying you directly. Fee changes will not apply retroactively.

If you dispute any charges, you must notify RetroTalent within 30 days of the date of the charge. If you fail to pay any fees when due, RetroTalent may suspend or terminate your access to the Services.

8. Intellectual Property

The Services and all content and materials included on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of RetroTalent or its licensors and are protected by copyright, trademark, and other intellectual property laws.

RetroTalent grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable laws prohibit these restrictions or you have our written permission.

9. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

RetroTalent does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

RetroTalent does not guarantee the accuracy, completeness, or usefulness of any information on the Services or provided by employers or job seekers. RetroTalent is not responsible for the conduct, whether online or offline, of any user of the Services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RETROTALENT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

RETROTALENT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO RETROTALENT FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE DATE OF THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless RetroTalent, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

Your use of and access to the Services
Your violation of any term of these Terms
Your violation of any third-party right, including without limitation any copyright, property, or privacy right
Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

13. Termination

RetroTalent may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

RetroTalent reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on the RetroTalent website, sending you an email, or through other reasonable means.

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in New York, New York, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
